Extensive experience with technical issues and writing technical memos for management and auditors. Experience includes mergers and acquisitions, VIE, derivatives, calls/puts (i.e., embedded warrants), foreign currency & FX hedging, debt & debt modifications, recapitalizations, equity modifications (i.e., preferred stock modifications), credit impairment (i.e., CECL model), build-to-suit sale/leaseback, new pronouncements, etc. Work w/Big 4 audit firms and controllers on resolutions to complex technical issues
Prepare 10-K, 10-Q, S-1, and Proxy, including XBRL (detail tagging), footnotes, MD&A, EPS, tax provision, disclosure checklists, etc. Prepare and maintain drafts, binders, and correspondence w/auditors/tax/legal/etc. Experience includes three IPOs and serving as interim SEC reporting manager.
Extensive experience assisting controllers and CFO’s with audits and audit preparation, and collaborating with Big 4 auditors/tax/legal. Prepare and review W/P’s (hands-on), including revenue & SaaS (ASC 606 & 985), acquisitions (ASC 805), consolidations (ASC 810/VIE (ASC 810), FX (ASC 830), debt & leases (ASC 470 & 842), warrants & derivatives (ASC 480, 815 & 815-40), credit impairment (ASC 326) intangibles & goodwill (ASC 350 & 360), inventory (ASC 330), tax (ASC 740), etc.
